The Terms and Conditions are part of your contract with NOVALIA SA.
1. Commercial and use conditions of NovaliaRomania.ro
Creating a user account and launching an online order through the NovaliaRomania.ro webshop requires your acceptance ("Customer" or "User") of the Terms and Conditions of use of the webshop, Privacy Policy regarding the processing of Personal Data, as well as Cookies Policy.
Your order placed via NovaliaRomania.ro, its confirmation in writing or by telephone by a NOVALIA SA representative and the Tax Invoice, form the Contract concluded remotely between you and NOVALIA SA.
Please carefully review all the information presented below so that you can give your informed consent.
Voluntary checking of the box related to the consent form displayed at the time of creating the user account or at the time of placing each individual order represents your acceptance of the Terms and Conditions presented.
We may periodically update the Terms and Conditions to keep up to date with legislative changes or our internal policies. We recommend that you review this information with each order so that you are informed.
If you do not agree with the Terms and Conditions presented and updated, then please do not use the NovaliaRomania.ro webshop and do not place orders for products listed on the webshop.
If you do not agree to the Terms and Conditions, but continue to use our webshop, then we will consider that you agree to all changes.
The conditions of use of the NovaliaRomania.ro webshop, as well as the way in which you can place orders, are presented below.
1.1 Copyright
Novalia SA is the author of this webshop and benefits from all legal rights recognized to authors, according to Romanian and international legislation. Unless otherwise specified, all materials, including images, illustrations, designs, icons (pictograms), photographs, audio/video clips, texts, etc. are the property of NOVALIA SA or are licensed by NOVALIA SA for use.
1.2. License to use
Novalia SA will grant a limited license to visit this webshop, without the possibility of modifying it without the consent of Novalia SA. This license does not include:
- resale or use for commercial purposes of the information presented on the webshop;
- downloading or copying information related to user accounts;
- the use of data mining techniques, robots or similar technologies that allow data extraction and analysis.
Novalia SA will grant you a limited, revocable, and non-exclusive license to create a hyperlink to a webshop page as long as this link does not describe Novalia SA or any of its partners/affiliates in a false, misleading, or offensive manner. The license granted will not permit the use of the Novalia SA trademark in this hyperlink without the prior written consent of Novalia SA.
The content of the webshop, in whole and/or in part, cannot be reproduced, duplicated, copied, resold, visited or exploited for commercial purposes without the prior written consent of NOVALIA SA.
1.3 Terms of use
The webshop is provided by Novalia SA “as is” and “as available”. Novalia SA does not guarantee that the webshop, the servers on which it is hosted, or the e-mails sent from Novalia SA are free of viruses or other potentially harmful computer components. The user uses the webshop at his own risk, Novalia SA being free from any liability for any direct or indirect damages caused by the use, access or visit of the webshop or as a result of the use of the information on the webshop. Novalia SA is not responsible for errors or omissions that may occur in the drafting or presentation of the materials on the webshop. Novalia SA does not grant any guarantee for the content and use of this webshop. The published information corresponds to reality at the time of their registration on the webshop or the updating of the various pages of the webshop. The photos displayed are indicative and may contain accessories that are not included in the standard product package. The technical specifications are informative, in accordance with the data transmitted by the manufacturers.
The promotions and offers present on the webshop are valid for the mentioned period and within the limit of available stock.
1.4 Security
If you use the webshop, you are responsible for ensuring the confidentiality of your access account data, such as your username and password, and you agree to assume full responsibility for the activities/actions carried out on the webshop with your account and password. If you suspect that, for various reasons attributable to you or not, the confidentiality of these access data has been compromised, you will immediately notify Novalia SA to block access to your account and generate a new set as quickly as possible.
Performing unauthorized operations on this site and attempting to perform them, including but not limited to: abusive use, fraudulent use, unauthorized access, modification, copying of information for commercial purposes, blocking access, etc., will be punished according to the law.
Users of the webshop may send comments, notes, suggestions, ideas or observations regarding the content and structure of the webshop, respectively may ask questions as long as their content is not illegal, obscene, threatening, defamatory, affecting the privacy, intellectual property rights of Novalia SA or third parties, and does not contain viruses, conduct political/electoral campaigns, commercial solicitations, chain letters, mass mailings, or any other form of spam. You may not use a false e-mail address or impersonate another person or entity. Novalia SA reserves the right, but not the obligation, to remove or edit such transmitted information. By submitting such information, unless otherwise specified, you grant Novalia SA and its partners/affiliates a royalty-free, non-exclusive, perpetual, irrevocable and sub-licensable license/right to use, reproduce, modify, adapt, publish, translate, derive, distribute or display it in any media, worldwide. You grant Novalia SA and its partners/affiliates the right to use the name you submitted in conjunction with the information, if they so decide. You represent and warrant that you own or control all rights to the information submitted, that it is accurate and that its use does not conflict with the Terms and Conditions of Use, that it will not cause damage to a third party and that you will fully indemnify Novalia SA or its partners/affiliates for all claims resulting from the information so submitted.
Novalia SA does not sell products and/or services to be purchased by minors. Novalia SA may sell or collect the value of products/services intended for minors, but purchased by an adult. If you are a minor and access this webshop, you may do so only if you are under the supervision of a parent or legal guardian.
2. User Account
The conditions that must be met if you are a consumer (Individual) according to OG 21/1992 are the following:
In order to create a user account ("My Account") and place product orders on the NovaliaRomania.ro webshop, as a consumer, you must be at least 18 years old (without being subject to any legal prohibition or restriction), as well as accept the Terms and Conditions presented here.
If you are not a consumer within the meaning of OG 21/1992 and you represent a legal entity such as: Commercial Company, Authorized Natural Person, Individual Enterprise, NGO, Institution, etc., then as a Professional you must meet the following conditions:
In order to create a user account and place product orders on the NovaliaRomania.ro webshop on behalf of a legal entity: you must be at least 18 years old, have the ability to legally represent the legal entity for which you are placing the order, and accept the Terms and Conditions presented here.
Novalia SA reserves the right to request additional information and documents in order to verify the identity of the person representing the legal entity, and if this is refused, the account or order may be refused or canceled.
If you choose to create a user account, you will be automatically directed to the Account creation page.
Consumers who are natural persons must complete the required fields: name, surname, email address, phone number and billing/delivery address (if the delivery address is different from the billing address) and choose a password for your user account. Keep your access data safe. NOVALIA SA does not record this information and does not process it in any way.
Legal Entity Consumers must complete the mandatory fields: name, surname, email address, telephone number and billing address (Head Office) / delivery (if the delivery address differs from the billing address), to which is added the full name of the legal entity you represent, head office, CUI / CIF. Choose a password for your user account. Keep your access data safe. NOVALIA SA does not record this information and does not process it in any way.
After you click the "Save" button, you will receive a confirmation message of account creation to the email address you used when registering.
Using the settings in "My Account", you can complete your information, correct any errors that may have occurred when entering data, and request a password change or reminder.
The account is unique, for your own use only and is not transferable in any way. You must not authorize or allow any other person to use it.
NOVALIA SA reserves the right to suspend or close an account (including deleting the information it contains) whenever we have reason to believe that it is being used illegally or contrary to our Terms and Conditions.
By creating and using the User Account, you assume responsibility for maintaining the confidentiality of your account data (username and password), for managing access to the account and for the activity carried out through this account. NOVALIA SA cannot be held liable for the loss of an account's security information, as this data is encrypted.
3. Placing an order
Each individual order placed on the NovaliaRomania.ro webshop represents a request for quotation regarding the products presented on the webshop.
The order is placed by following the steps below:
•Selecting products and adding them to the shopping cart using the “Add to Cart” button.
•The shopping cart contains all the products you want to order and their individual and total value.
•In the “Order Form” fill in the fields: DELIVERY ADDRESS (the address to which you want the order shipped), BILLING ADDRESS and choose DELIVERY METHOD.
•In the DELIVERY METHOD area, you can choose Pre-paid Shipping (The cost will be calculated by us and included in the invoice), Cash on Delivery Shipping (The cost will be calculated by the courier company and paid directly to it) or Warehouse Pickup (Pick up your order directly from our warehouse for free).
In the PAYMENT area you can select the desired payment method, by card or cash on delivery upon receipt of the order, check the data and products in the order and accept the Terms and Conditions.
•If you missed something or want to make changes to your order, return to one of the previous areas or access the shopping cart again. After making your changes, resume the ordering process.
•The final step is to access the “CONFIRM AND SEND ORDER” button, after which your order is sent.
By accepting the Terms and Conditions and completing the order, the customer agrees that all data provided is correct, valid and complete.
This will be confirmed by a NOVALIA SA representative by phone and in writing (via email).
An unconfirmed order is not considered valid and as a result will not be processed or honored.
NOVALIA SA reserves the right to cancel the order placed by the Customer, following a notification addressed to him, without any subsequent obligation of either party towards the other or without either party being able to claim damages from the other, if the data provided by the customer on the webshop is incomplete/incorrect or if for various reasons related to availability or logistics, the product or products in the order cannot be delivered.
Confirmation of registration of an ORDER
After the customer places an order on the webshop NovaliaRomania.ro by following the steps above, they will automatically receive a confirmation email acknowledging the receipt/registration of the order.
This message received by email is automatically generated, is informative and does not generate contractual obligations.
The order registration confirmation will contain: the products ordered, their price, the cost of shipping by courier, the total price of the order with all taxes and costs included.
Confirmation or cancellation of orders is made within a maximum of 3 working days by the NOVALIA SA representative. A registered order that has not been confirmed by a NOVALIA SA representative does not represent an obligation on our part and as a result may be refused or canceled with prior notification to the customer, specifying the reasons that led to this action.
The contract comes into force upon confirmation of the order and issuance of the Tax Invoice. This implies your obligation to pay us for the ordered products. Unless terminated by law, the contract will last until the delivery and full payment of the products.
4. Product availability
The fulfillment of any Order by Novalia SA is conditioned by the stock availability of the ordered products. Novalia SA makes every effort to display their availability as realistically as possible, indicating whether the products are in stock or are available only based on an order to the Supplier which involves checking existing availability.
Therefore, order confirmation is not mandatory if a specific product is unavailable in our stock or that of our suppliers. If an ordered product is currently unavailable, a Novalia SA representative will notify you within a reasonable time after placing the order.
5. Prices. Invoicing. Payment
5.1 Price
Within the webshop NovaliaRomania.ro prices are expressed in RON, and the product page displays both the price including VAT (19%) of the product.
The value in RON for a product is updated with the selected quantity and is displayed individually for each product in the Shopping Cart and in the Order Form.
Prices may change periodically, but these will not affect orders already confirmed by a Novalia SA representative.
The Shipping Fee is added to the value of the products (except when Free Shipping is offered, subject to terms and conditions presented on the page: Shipping and Returns) after the customer enters the Shipping Address and selects the Payment Method and Shipping Method in the Order Form. This cost is highlighted separately from the value of the product or products in the order.
If you are a individual consumer and you legally exercise your right of withdrawal from the contract, you will bear the costs of returning the products by express courier and, if applicable, other costs provided by law. The shipping cost charged upon order confirmation will not be refunded if you opt to return one or more products within the time limit established by law. Details can be found on the page: Shipping and Returns.
In certain cases (atypical products or products that are brought on special order) the Shipping Fee is displayed generically using a global value, because for these products the exact cost of the shipping fee will be communicated to the customer in writing and/or by phone by a Novalia SA Representative before confirming the order. The order will, however, contain the exact and firm price of the products based on the order placed, which in the initial phase represents a request for quotation that must be confirmed by a Novalia SA representative.
We make every effort to ensure that the prices displayed on our webshop are correct and up-to-date. However, it is possible that we may display certain prices incorrectly, and in such cases we are not obliged to supply you with that product at the incorrectly stated price, provided that we notify you of the error before confirming your order in such case, and you will be able to decide whether or not you wish to keep the order at the correctly communicated price.
5.2 Invoice
NOVALIA SA will issue a Tax Invoice to the customer after the order has been confirmed, the customer being obliged to provide (through his order and through his user account) all the information necessary for the issuance of the Tax Invoice according to the legislation in force.
The Customer must update their data in the User Account whenever necessary, where they can access the information and documents related to each Order. (The exception is customers who do not have an account and have launched orders without setting a password. In this case, the updated data will be displayed in a newly launched order without an account created).
The Tax Invoice issued in electronic format will be sent to the customer at the e-mail address provided in the Order / User Account. Tax Invoices in electronic format will contain the same information that Tax Invoices issued in printed format normally contain.
5.3 Payment
Payment for Products ordered through our webshop NovaliaRomania.ro can be done using one of the following methods:
- Refund to Courier(cash with receipt issued by the representative of the courier company through which the delivery was made)
- Bank card (debit or credit), directly on the webshop via the NETOPIA mobilPay online payment processor;
- Cash at the headquarters of our company NOVALIA SA located at: Str. Narciselor, no. 50, 500251, Brasov, Brasov County.
If any amount owed to us by the Client is not paid, we reserve the right to terminate the contract concluded with it, by simple written notification via e-mail.
6. Delivery
Novalia SA will deliver the products to the customer by express courier. If the transport costs are significant (e.g. delivery of heavy or atypically sized products, delivery to areas with additional kilometers or delivery from outside Romania directly to the customer) Novalia SA reserves the right to request payment of an advance to cover the transport costs or full payment of the order in advance.
Delivery of the ordered Products is made within the following estimated terms (depending on the availability of the products):
- 1-2 working days for products in Novalia SA stock;
- 10-20 working days for products in our supplier's stock;
- within the period specified in the order confirmation if the products are not in our or the supplier's stock;
Additional periods may be added to the deadlines specified above if the client requests certain additional services (for example: issuing a Metrological Calibration Certificate, personalizing a product, etc.)
Delivery will be made to the address specified in the order.
Cost for delivery by Express Courier:
- Fan Courier - starts from 20.00 Lei with VAT included.
- DPD Romania - starts from 29.00 Lei with VAT included.
The delivery fee is applied depending on the volume/weight of the products in the order, regardless of the order value and differs from one product category to another.
The delivery fee will be applied and will be visible on the checkout page (order form), after the delivery details have been completed.
The actual delivery for large (oversized) products will always be subject to a charge and will be calculated based on the region and delivery area.
Delivery method of „Pick up from warehouse” can be selected from the order page and is FREE. This involves the customer traveling to pick up the products from the headquarters of NOVALIA SA. (str. Narciselor, no. 50, loc. Brasov, Brasov county.). However, in the case of heavy products or products with atypical dimensions, a shipping cost will be charged, communicated upon order confirmation.
Novalia SA will ensure the proper packaging of the products and will ensure the transmission of accompanying documents by email and in printed format.
If you receive a notification of an unsuccessful delivery to the address indicated in the order, it is your responsibility to use the data received to contact the courier and establish a new delivery date.
The above delivery times are estimates and we do not assume liability for damages that may occur due to delayed delivery, if these are caused by circumstances beyond our control or for which we cannot take measures to prevent the delay (example: unavailability of products in suppliers' stock, transport or delivery conditions, cases of force majeure).
7. Transfer of ownership and risks of the products
You become the owner of the ordered products only after you have made full payment of the related price. Before full payment, you are considered to be keeping the products in custody for us, so they cannot be considered your own property.
The products are considered delivered on the date you confirmed receipt on the transport document provided by the courier or on the invoice if you pick up the products from the Novalia SA headquarters.
The risk of damage to or loss of the products is transferred to you when the products are delivered to you personally or to a person designated by you (other than the courier).
If the products received prove to be damaged due to transport, you are required to claim these damages in writing directly to the courier through whom the delivery is made, completing a "Damaged Parcel" report provided by the courier company representative.
If the delivered products have physical or technical defects, you can notify us in writing at the following email address: comercial@novalia.pro within 48 hours of their receipt, attaching images supporting your complaint, and we will take all necessary measures to replace the products within a reasonable time.
After this period, problems reported regarding the products received fall under the Warranty and will be resolved as such.
8. Right to withdraw from the contract (only for individual consumers)
As a consumer, you have the right to withdraw from the contract concluded with us (Completed Order or Issued Tax Invoice), without specifying the reasons for this withdrawal, within 14 calendar days from receipt of the products.
This right applies to most products ordered from the NovaliaRomania.ro webshop, according to the law. Please read the product description on the webshop carefully before ordering.
In certain cases, you do not benefit from this right in situations such as:
- Purchasing products as a professional (commercial company, Authorized Natural Person, Sole Proprietorship, State Institution, NGO, etc.);
- In the case of products which, after delivery, according to their nature, are inseparably mixed with other elements;
- Products made according to the specifications presented by the consumer or personalized;
- Products that are likely to deteriorate or expire quickly;
- In other cases provided by law;
In cases where you have the right to withdraw from the contract, this will be done under the following conditions (which are supplemented by other mandatory legal provisions):
- The withdrawal period expires after 14 calendar days ("Withdrawal Period") from the day on which you or a person designated by you (other than the courier) acquires physical possession of the products. If you have ordered several products in a single order that will be delivered separately, the period expires after 14 calendar days from the day on which you acquire physical possession of the last product.
- You must inform us of your decision to withdraw from the contract using our contact details. In this regard, you can send us a written notice by post or email, before the expiry of the 14 calendar day period.
- You can send the products you wish to return by express courier only after receiving our written consent.
- Returned products must be in the same condition in which they were delivered (in the original packaging with all accessories, with intact labels and accompanying documents). If you have purchased multiple products of the same type, you can only return one unsealed product, and the rest must be sealed (if they were sealed upon delivery).
- Returned products must be accompanied by a copy of the purchase invoice and the original Warranty Certificate.
- Novalia SA will refund exactly the amount you paid for the returned products, excluding the shipping cost. The refund will be made to the bank account provided by the customer, within a maximum of 30 calendar days from the receipt of information regarding your decision to withdraw from the contract, provided that, by the expiry of these 14 calendar days, we have received all the products you wish to return.
- You will bear the direct cost of returning the products to Novalia SA (unless we expressly inform you that we will bear them). Any return will be made to our address and will include all the products you wish to return. You must send them back in the condition in which we delivered them to you, without undue delay and, in any case, within a maximum of 14 calendar days from the day you communicated to us in writing your decision to withdraw from the contract.
- You are responsible for any diminished value of the products due to the way in which you have handled or used them (other than to determine the nature, qualities and functioning of the products). In this case, we will reimburse you the amount we received from you, from which we may deduct the value of the diminished value of the products in question.
When returning products, please keep in mind:
- Use express courier services that allow the registration and tracking of the shipment, keeping proof of it;
- Carefully pack the products in the original packaging and use foil and cardboard boxes for protection
9. Product Warranty and Conformity
We, NOVALIA SA SRL, from Brasov, Str. Narciselor, no. 50, registered with the Trade Register under no. J2008000044080, Fiscal Code RO 23049178, assure, guarantee and declare on our own responsibility, according to the provisions of Government Decision no. 1022/2002, regarding the regime of products and services that may endanger life, health, occupational safety and environmental protection, that the products marketed by NOVALIA SA to which this declaration refers, do not endanger life, health, occupational safety, do not produce a negative impact on the environment and are compliant with international standards in force and with the manufacturers' own technical standards and specifications, according to the mentions and technical specifications in the NovaliaRomania.ro online store in force on the date hereof.
- All products sold by NOVALIA SA SRL benefit from Warranty conditions in accordance with the legislation in force in Romania on the date of their purchase (law 449/2003, OG21/92 amended in 2016, law 296/2004 and OG 9/2016).
- This Legal Guarantee is granted only to consumers, as defined by Government Decree No. 21/1992 on consumer protection (natural person or group of natural persons established in associations, acting for purposes outside commercial, industrial or production, artisanal or liberal activities) and is for 24 months from the date of delivery.
- For professionals (regardless of the form of organization under which they are registered, such as but not limited to legal entities), the warranty period is 12 months from the date of delivery.
- For products whose average lifespan is less than 2 years, the warranty period is reduced to this duration, according to applicable law.
- This Guarantee does not affect the rights of individual Buyers established by Law no. 449 of 12.11.2003, regarding the sale of products and their guarantees, (Official Gazette, Part I no. 812/18.11.2003), as updated.
- The warranty is granted only for material or manufacturing defects, i.e. for lack of conformity of the products (dimensions, physical properties of the materials, etc.).
- The technical documents are delivered together with the products in electronic and/or printed format (on paper). The product claimed during the warranty period must be delivered/shipped to the headquarters of NOVALIA SA SRL and we will take full responsibility for resolving the warranty.
- For repair or replacement (as applicable), please send the product (by Express Courier) whose non-conformity you have previously reported to us in writing by email: comercial@novalia.pro , to the address: Str. Narciselor, no.50, Brasov, properly packaged and together with all accessories from the delivery set, accompanied by a copy of the Tax Invoice and the original Warranty Certificate. If the product is not accompanied by these documents, it will be returned to the Customer at his expense, without resolving/resolving the warranty.
- The customer is required to examine the goods immediately upon receipt and to report any non-conformity (damaged package, mechanical defects of the product/products, etc.) on the courier company's delivery note.
- Any complaint regarding quantity or defects must be reported within 48 working hours, in writing by email: comercial@novalia.pro
The warranty does not cover:
- Defects caused by overload, incorrect use or for purposes other than those provided for in the product's technical manual, poor maintenance or storage in inadequate conditions.
- External factors (e.g. damage during transport, damage caused by mechanical shock, excessive heat, water, moisture or acids).
- Products to which modifications or additions have been made by the customer or unauthorized third parties.
10. Consumer personal data
NOVALIA SA is committed, within its activities and in accordance with the legislation in force in Romania and Europe, to ensuring the protection, confidentiality and security of the personal data of its clients and users of its products and services, as well as respecting their privacy.
This policy informs you about how NOVALIA SA, its subcontractors and potential partners process your personal data.
This policy applies to customers and users of offers and services, as well as visitors to the NovaliaRomania.ro webshop.
NOVALIA SA and the processing of your personal data:
- NOVALIA SA processes personal data only for specific, explicit and legitimate purposes. NOVALIA SA does not process this data in a manner incompatible with these purposes.
- NOVALIA SA processes your data as part of a request or within a contract.

Your data is kept for the period necessary to fulfill the purposes mentioned above.
NOVALIA SA also processes your data to fulfill its legal or regulatory obligations.

If your requests to NOVALIA SA have not been satisfied, you have the possibility to file a complaint with the National Authority for the Supervision of Personal Data Processing (Bulevardul General Gheorghe Magheru 28-30, Bucharest 010336, tel: 031 805 9211), the supervisory authority responsible in Romania for compliance with personal data obligations.
How is your data secured?
NOVALIA SA ensures that your data is treated in full security and confidentiality, including when certain operations are performed by subcontractors. To this end, appropriate technical and organizational measures are implemented to prevent the loss, misuse, modification and deletion of your personal data.

11. Liability of Novalia SA
To the extent permitted by law, our total liability to you in connection with these Terms and the Personal Data Policy will not exceed the amount you actually paid for the products ordered on the webshop.
We are not liable to you if:
- We cannot fulfill our obligations to you on time or in full when these things are prevented by events or circumstances beyond our control (for example: technical problems, logistical problems and any case of force majeure);
- After delivery of the product, you damaged the product, lost it or did not use it according to the technical instructions;
- Continue to use the product after informing us of its non-conformity;
- The product ordered from us has been modified without our prior written consent;
- You have not paid the full price of the product within the agreed payment term;
- We are suspending the webshop. NovaliaRomania.ro for maintenance, upgrades or other organizational reasons, or if we decide to permanently close it and no longer offer services through it;
- In other cases expressly provided for by law.
12. The accuracy of the information displayed on the webshop
We make every reasonable effort to accurately present the images, technical characteristics and product descriptions on the webshop NovaliaRomania.ro.

14. Dispute and litigation resolution

If we cannot reach an amicable settlement of the disputes, the dispute will be resolved by the competent courts in the Municipality of Brasov, except for disputes with consumers who are private individuals. Romanian law is the applicable law.
Also, according to European and Romanian legislation on the matter, we inform you that it is also possible to resolve disputes and litigation with consumers and resulting from online transactions online, out of court.
